Terms and Conditions for GrowSooner + Internal apps

Please read these Terms and Conditions ("Terms") carefully before using the social media management service (the "Service") operated by GrowSooner ("us," "we," or "our").
Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By accessing or using the Service, you agree to be bound by these Terms.
1. The Service
GrowSooner provides a social media management and scheduling service designed to help clients manage their digital presence on platforms including, but not limited to, Facebook and Instagram.
Our Service is powered by the Postiz software platform, which we operate on our own self-hosted infrastructure. Your agreement is with GrowSooner for the use of our Service; this agreement does not grant you a license to or any rights to the underlying Postiz software itself.
2. User Accounts
To use our Service, you must create an account. You agree to provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
3. User Responsibilities & Content
Your Content: You are solely responsible for all text, images, videos, links, and other material ("Content") that you post, schedule, or otherwise manage through our Service. You retain all of your rights to any Content you submit.
Acceptable Use: You agree not to use the Service to upload or distribute any Content that is unlawful, defamatory, libelous, harassing, abusive, fraudulent, obscene, or otherwise objectionable.
Compliance with Platform Rules: You agree to comply at all times with the current Terms of Service, Community Standards, and all other policies of the social media platforms you connect to our Service (e.g., Meta's Facebook and Instagram terms). GrowSooner acts as a tool for publishing; you bear all responsibility for the Content you publish and for ensuring it adheres to platform rules.
4. Intellectual Property Rights
Our Service: The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of GrowSooner and its licensors. Our branding, trademarks, and trade dress may not be used in connection with any product or service without the prior written consent of GrowSooner.
Underlying Software: The underlying Postiz software is the intellectual property of its respective owners. No rights to this underlying software are granted to you.
5. Connection to Meta Platforms
Our Service uses the official APIs provided by Meta to connect to your Facebook Pages and Instagram Business Profiles. By authorizing this connection, you grant GrowSooner permission to access your accounts for the limited purposes of providing the features of the Service, as outlined in our Privacy Policy. GrowSooner is not owned by, affiliated with, sponsored, or endorsed by Meta Platforms, Inc.
6. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. You can terminate your account at any time by using the account deletion feature within the Service dashboard or by contacting our support team.
7. Disclaimer of Warranties and Limitation of Liability
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. GrowSooner makes no warranties, express or implied, regarding the operation of the Service or the information, content, or materials included therein. You expressly agree that your use of the Service is at your sole risk.
In no event shall GrowSooner, nor its directors, employees, partners, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within Miami-Dade County, Florida.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
